Agree to the following to proceed to the download page. 1.0 SOFTWARE LICENSE AGREEMENT This is a license agreement between the purchaser (the “USER”) and SommerSoft AS, either the USER has actually purchased the SommerSoft QueryOrganizer application (the "Software") or only evaluate a demo version of the Software. This License Agreement is the USERS copy, and must be kept by the USER. 1.1 Notice This is a license, not a sale. Read carefully the terms and conditions of this agreement. By using the Software, you are consenting to be bound by and becoming a party to this agreement. If you do not agree, do not use the Software. If the Software is accessed electronically, indicate acceptance of these terms by selecting the "accept" button at the end of this agreement. If these terms are not accepted, select the "decline" button at the end of this agreement. 1.2 Usufruct SommerSoft AS grants to the USER a limited, non-exclusive, non-sublicensable, non-transferable license to install and use one copy of this version of the Software to use the Software without fee for evaluation of the Software, in binary executable only. One license of the Software cannot be shared, installed or used at more than one single computer, workstation, terminal, handhold PC or other digital electronic unit and which must be owned by the USER. The USER have no rights to transfer, hand over, hire out, offer, lease, lend out, sell, re-distribute or in any other way distribute this license agreement to a third party. 1.3 Ownership, rights & property Title, ownership rights, and intellectual property rights in and to the Software shall remain in SommerSoft AS, and is protected by Norwegian copyright act of May 12th 1961, chapter 2, International Conventions and other relevant International laws. The USER agree to abide these laws including, but not limited to, export control laws. The USER acknowledge that the Software in source code form remains a confidential trade secret of SommerSoft AS and therefore the USER agree not to modify the Software or attempt to decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive source code from the Software, except to the extent applicable laws specifically prohibit such restriction. 1.4 USERS guarantee SommerSoft only guarantees that the Software: A. in all essentials will function according to the following User manual. Should the Software not in all essentials function according to the following User manual, will SommerSoft AS, as SommerSoft AS finds it appropriate, refund that amount which is paid for the Software or return corrected Software without any cost for the USER, with the condition that the USER has returned the defect Software within 90 - ninety - days after the purchasing date of the Software. B. will be distributed in a way where the Software and its workmanship is free from defects, except where the Software has been downloaded from the Internet. C. will be free of defects regarding workmanship in a period of 90 - ninety - days from the purchasing date of the Software. SommerSoft will, as SommerSoft AS finds it appropriate, refund that amount which is paid for the Software or return corrected Software without any cost for the USER, with the condition that the USER has returned the defect Software within 90- ninety - days after the purchasing date of the Software. These conditions given here in chapter 1.4 A., B. and C., are not valid if there has occurred any misuse or unauthorized use of the Software, and will under no circumstances include use of demo versions. Demo versions expires within a certain amount of days, and MUST NOT be used for other work than evaluation of the Software only. After the expiration day, the USER will be unable to use the Software, and it will be technically impossible to use the result of the work performed by the Software. 1.5 Clause limiting liability Use of the Software and its documentation is at the USERS sole risk. The Software and its documentation (including the User’s guide), and SommerSoft AS's software maintenance and extended maintenance, if applicable, are provided "as is" and without warranty of any kind from SommerSoft AS, except those mentioned in chapter 4.1. Expressly disclaims all warranties, express or implied, including, but not limited to the implied warranties of merchantability and fitness for a particular purpose and against infringement. SommerSoft AS does not warrant that the functions contained in the software will meet your requirements, or that the operation of the software will be uninterrupted or error-free, or that defects in the software will be corrected. Furthermore, SommerSoft AS does not warrant or make any representations regarding the use or the results of the use of the software or its documentation or the services of any service provider in terms of their correctness, accuracy, reliability, or otherwise. No oral or written information or advice given by SommerSoft AS or SommerSoft AS authorized representative shall create a warranty or in any way increase the scope of this warranty. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply. Under no circumstances including negligence, shall SommerSoft AS, its licensors or their directors, officers, employees or agents be liable for any indirect, incidental, special or consequential damages (including damages for loss of business profits, business interruption, loss of business information and the like) arising out of the use or inability to use the software or its documentation, even if SommerSoft AS or SommerSoft AS authorized representative has been advised of the possibility of such damages. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages so the above limitation or exclusion may not apply. SommerSoft AS has under no circumstances any responsibilities to the USER for any kind of economical responsibilities, damages, losses or indirectly losses, expenses to lost profit, business, goodwill, data or software and causes of action (whether in contract, tort, including negligence, or otherwise). In no event shall SommerSoft AS's total liability exceed the amount paid for the Software and its documentation. 1.6 Termination & duration This license will exists as long as the Software is in use by the USER, whether the Software is used as a full blown version or a demo version. If the Software is a demo version, this license will only be effective for the duration of the demo period. Information about the demo period will be found in the Software, or/and in the package which will follow the Software, or at the web area where the Software has been downloaded from. However, SommerSoft AS may terminate this License at any time by delivering notice to the USER and the USER may terminate this License at any time by destroying or erasing the USERS copy of the Software. This Agreement will terminate immediately without notice from SommerSoft if the USER fail to comply with any provision of this Agreement. Upon Termination, the USER must destroy all copies of the Software. This License is personal to the USER and the USER agree not to assign the USERS rights herein. This License sets forth the entire agreement between the USER and SommerSoft AS. 1.7 Legal venue Legal venue is City of Oslo Stipendiary Magistrate’s Court.
